A deposit of 50% ("Deposit Cost" “First Payment”) of the total project cost is due at the start of the project to secure All Caps Marketing Agency’s services and to cover initial expenses.
The remaining amount is due upon the completion of agreed-upon work.
The first payment is a non-refundable Deposit. At a minimum, The Client agrees that the Deposit Cost fairly compensates Service Provider for committing to provide the Services and turning down other potential projects/clients.
All deliverables created by All Caps Marketing Agency shall remain the property of the Client upon full payment.
The Client acknowledges that Service Provider allows up to two rounds of revisions on all projects. We provide two rounds of amendments to our work at no extra charge, as long as the changes requested do not substantially alter the original project scope, nature or purpose, and as long as you have not already given us your final approval for the piece of work concerned. Any other kinds of amendments are considered a change in the project scope, which is explained in "Substantive Changes".
Substantive Changes
If The Client requests or instructs Changes that amount to a revision in or near excess of fifty percent (50%) of the time requested to produce the Deliverables, and or the value or scope of the Services. Service Provider shall be entitled to submit a new and separate project invoice and contract alteration to The Client for written approval. Work shall not begin on the revised services until the new project invoice and contract alterations are paid and signed.
Both parties understand that The Client or Service Provider may terminate the services at any time if, for any reason, the relationship is deemed unsatisfactory by either party. In the event of cancellation of this project, ownership of all copyrights and the original artwork shall be retained by Service Provider as well as the non-refundable deposit. The Client acknowledges they will be responsible for paying for the percentage of work completed and expenses already incurred by the date of cancellation, whether the final deliverables have been given to the client or not.
The Client shall reimburse Service Provider for all expenses arising from this assignment, including but not limited to Custom Photography, Stock Photography, Artwork, Forms and or material that may be needed for the project as agreed upon by The Client on a case-by-case basis. Service Provider will consult The Client before purchasing any materials outside the service cost.
Both parties understand they may receive confidential information throughout this project including but not limited to passwords, logins, payment information, addresses, and general business information. Service Provider and The Client will never share or sell this information with any third party without expressed permission from the other party.
Term of Confidentiality: The obligations of confidentiality shall remain in effect for a period of 3 years after the termination of this Agreement or until The Client sends the Service Provider written notice releasing it from this Agreement, whichever occurs first.
Return of Materials: Upon the termination of this Agreement, or upon The Client’s written request, the Service Provider shall promptly return or destroy all documents and other materials received from The Client containing Confidential Information and shall certify in writing to the Disclosing Party that it has complied with the obligations set forth in this paragraph.
The Client acknowledges that all final design files (described in "Services & Deliverables" section) are copyrighted work(s) created by Service Provider and Service Provider owns all copyright in any and all work(s) it creates or produces. Upon delivery of design files, Service Provider grants an unlimited license to use their Designs online and in print. All aforementioned originally created deliverables are wholly owned by Service Provider prior to the final project invoice paid by The Client. This means that if the project is cancelled before completion, Service Provider retains ownership of everything, and no rights are granted to The Client to use them.
